APPLICATION
These General Conditions of Sale apply to any sale of products or services made by DIRNA BERGSTROM, S.L. (hereinafter DIRNA BERGSTROM). The placing of an order by a customer (hereinafter CUSTOMER) constitutes automatic and unreserved acceptance of these GENERAL CONDITIONS OF SALE.
Any deviation from these GENERAL CONDITIONS OF SALE must be agreed between DIRNA BERGSTROM and the CUSTOMER in writing.
PRICES AND ORDERS
The prices indicated in any DIRNA BERGSTROM document, such as price lists or offers, do not include VAT.
The prices indicated in the price lists are subject to change without prior notice. DIRNA BERGSTROM will inform you of any changes as soon as possible.
DIRNA BERGSTROM will only accept orders received by email.
DELIVERY CONDITIONS
The delivery term for the goods is Ex Works (EXW, according to INCOTERMS® 2020 of the International Chamber of Commerce (ICC). This means that DIRNA BERGSTROM places the goods at the CUSTOMER’s disposal at its factory in Alcalá de Henares (Madrid, Spain) and that all costs and risks from that point on are borne by the CUSTOMER. This applies even if DIRNA BERGSTROM arranges transport and includes transport costs in the invoice, unless explicitly agreed otherwise.
Merchandise will only be insured upon written request.
The CUSTOMER must claim from the carrier any damage to the product and/or packaging, losses or delays that occur during transit.
TERMS OF PAYMENT
Unless explicitly agreed otherwise, all goods are supplied against payment.
To open a credit account with DIRNA BERGSTROM, the CUSTOMER must complete all the information on the ACCOUNT OPENING form, thereby giving their consent to these GENERAL CONDITIONS OF SALE.
DIRNA BERGSTROM reserves the right to conduct any investigation it deems appropriate to determine the financial solvency of the CLIENT. Based on this information, DIRNA BERGSTROM will determine the maximum risk level for a given CLIENT. If DIRNA BERGSTROM grants a credit account to a CLIENT, the preferred payment term is 30 days from the invoice date.
DEFAULTS AND DOMAIN RESERVATION
Any nonpayment will automatically result in the suspension of credit for any supplies or services to be provided, without prejudice to any legal action DIRNA BERGSTROM may take. In the event of late payment, a surcharge of at least 1% per month will apply. Any other expenses resulting from nonpayment will also be borne by the CUSTOMER.
DIRNA BERGSTROM retains ownership of the products supplied to the CUSTOMER until the corresponding amounts have been paid in full and reserves the right to recover the products in the event of non-payment at any due date. Any costs incurred in this regard shall be borne by the CUSTOMER.
WARRANTIES
Warranty Coverage
The warranty covers parts and materials that malfunction or are subject to manufacturing defects, including the replacement or repair of the part found to be defective, at DIRNA BERGSTROM’s discretion. The warranty does not cover travel expenses or gas refills. Labor for part replacement is not included, except for Parking Cooler units (see following paragraph).
Warranty period depending on the type of product
- PROFESSIONAL – RESTING line equipment (Pre-charged electric air conditioning systems used as Parking Coolers for the driver to rest in the truck cab when the engine is stopped, except for Split-type equipment): 24 months from the date of issue of the DIRNA BERGSTROM delivery note. In this case, the warranty also includes labor for part replacement. The time indicated in the current repair time table and the defined hourly rate apply exclusively. Travel and transportation expenses are not included.
- PROFESSIONAL – WORKABLE line equipment (Electric air conditioning systems for off-road vehicle applications and electric split air conditioning systems): 12 months from the date of issue of the DIRNA BERGSTROM delivery note.
- Components and kits of various air conditioning components (such as evaporators, condensers, heaters, evaporator and condenser kits, T range products): 12 months from the date of issue of the DIRNA BERGSTROM delivery note.
- CARAVANING line equipment (Pre-charged electric air conditioning systems and evaporative systems for motorhomes):
- In general: 24 months from the date of issue of the DIRNA BERGSTROM delivery note.
- For sale in Spain only: 36 months from the date of installation with a maximum of 42 months from the date of the delivery note to the distributor.
For CARAVANING line equipment, the warranty includes labor for part replacement. The warranty applies solely to the time indicated in the current repair time table and the defined hourly rate. Travel and transportation expenses are not included.
- Spare Parts and Fittings: 90 days from the date of issue of the DIRNA BERGSTROM delivery note.
In all cases, acceptance of the warranty is subject to approval by the DIRNA BERGSTROM Technical Department.
Exclusion of warranty
The warranty will not be valid in the following cases:
- Improper use of the equipment. The warranty does not cover the following applications (non-exclusive):
- Use of Parking Cooler equipment (models such as Compact, SlimFIT, LITE, Dinamic, etc.) in vehicles operating off-road where the equipment is exposed to vibrations, impacts, and strong inclinations, such as agricultural machinery, construction or mining vehicles, and similar.
- Use in saline or chemically aggressive environments.
- Cleaning with high-pressure devices and/or use of detergents.
- Making modifications or replacements to the equipment without express authorization from DIRNA BERGSTROM.
- Installation, manipulation or repair of the equipment or its components by personnel not authorized by DIRNA BERGSTROM.
- Damage to equipment or its parts caused by unforeseen events, force majeure (including natural phenomena such as fires, storms, floods, etc.) and accidents.
- Lack of maintenance or inadequate or negligent maintenance.
- Purely aesthetic damage to equipment caused by the passage of time, without affecting its functionality.
- Cases of deceit or fraud.
The installer/seller is responsible to the customer or user for ensuring that the installation has been carried out scrupulously following all the instructions contained in the equipment’s assembly documentation and that the user is provided with the completed warranty form and the equipment’s user and maintenance manual.
This warranty extends exclusively to the equipment and its parts, and any type of compensation for damages is expressly excluded.
Warranty Conditions for repairs performed by the Technical Assistance Service
Repairs performed by our Technical Support Service (SAT) carry a three-month warranty, which covers both labor and replacement parts. During this period, any defect related to the repair will be addressed at no additional cost. The product warranty exclusions apply.
Charge for Non-Acceptance of Budget
If you decide not to accept the repair estimate provided, a 10% charge will be applied to the total amount of the estimate prepared, covering associated administrative and technical costs.
Processing
For the management of both warranty parts and returns, the CUSTOMER must contact DIRNA BERGSTROM’s Technical Service to request the corresponding shipping authorization. The customer must send the part in question, postage prepaid, to DIRNA BERGSTROM, c/ Francisco Alonso 11A, 28806 Alcalá de Henares (Spain), attaching this authorization in a visible place.
It is essential that the CUSTOMER receives the authorization document from DIRNA BERGSTROM before shipping the part. In addition, a photocopy of the DIRNA BERGSTROM delivery note or invoice and the serial number of the equipment must be attached to the part, describing the defect observed. Once the DIRNA BERGSTROM Technical Department accepts the warranty, the part will be replaced FREE OF CHARGE. This may be the same repaired part or a new one, at the discretion of the DIRNA BERGSTROM Technical Department. If labor costs are included, DIRNA BERGSTROM will issue the corresponding credit. Invoices from the CUSTOMER for this item will not be accepted.
RETURN OF MATERIAL
Returns of material will only be accepted upon written approval from DIRNA BERGSTROM. The CUSTOMER must complete the “Shipping Authorization” form with all required information and attach this printed form to the shipment. Returns without this form will not be accepted.
In all cases, the CUSTOMER shall refrain from issuing an invoice to DIRNA BERGSTROM. Once the return is accepted, a credit note will be issued, from which at least 10% of the cost of the material will be deducted for verification and packaging.
JURISDICTIONAL JURISDICTION
Both DIRNA BERGSTROM and the CUSTOMERS shall submit to the Courts and Tribunals of Madrid for the resolution of any dispute arising from the interpretation or execution of these General Conditions of Sale or the supplies made under them, expressly waiving their own jurisdiction if different.
